Formant une Unité Economique et Sociale,
Ci-après dénommées « l’Entreprise »,

Il est convenu le présent Accord de Substitution ci-après :
PREAMBULE
Le 1er juillet 2017, la société SANDERS Bretagne a acquis le fond de commerce de la société RICHARD Nutrition avec les outils industriels d’Hennebont et de Saint-Caradec/Trégomel, ainsi que le fond de commerce de collecte de céréales.
Les salariés des sociétés Richard Nutrition (ex Groupe EVEN) ont été transférés via l'article 1224-1 du Code du Travail au sein de la société SANDERS Bretagne, formant une UES avec la société CELTALLIANCE.
Cette opération ayant mis en cause le statut collectif de ces différentes sociétés, conformément aux dispositions prévues à l’article L2261-14 du Code du Travail, les parties ont convenu de la nécessité d’engager un processus de négociation d’harmonisation des différents statuts existants au sein de ces sociétés.
Par ailleurs, vu l’ensemble des accords collectifs, usages, accords atypiques ou engagements unilatéraux existants à ce jour, et leurs différences d’une société à une autre, il est aussi apparu opportun d’organiser leur maintien ou leur adaptation dans le cadre d’un nouvel accord qui sera applicable à l’ensemble des salariés de la l’UES SANDERS Bretagne/CELTALLIANCE.
La direction de la société SANDERS Bretagne a ainsi entamé des négociations avec l’ensemble des organisations représentatives.
Conformément à l’article L2222-3-1 du Code du Travail, un accord de substitution a été négocié afin de définir les principales étapes du déroulement des négociations et les moyens mis à dispositions des parties. Diverses réunions ont permis de négocier les modalités de mise en œuvre de cette harmonisation sociale.
Aussi, le présent accord révise les dispositions existantes au sein de l’UES SANDERS Bretagne/CELTALLIANCE et se substitue à l’ensemble des accords collectifs mis en cause suite à cette opération, ainsi qu’à l’ensemble des dispositions unilatérales, usages ou accords atypiques ayant le même objet que le présent accord de substitution jusqu’alors applicables au sein des différentes entités.
CHAMP D'APPLICATION
Le présent accord est conclu au niveau de l’UES CELATALLIANCE/SANDERS Bretagne et s’applique aux établissements de cette unité.
Cet accord bénéficie à l’ensemble des salariés du périmètre ainsi défini sous contrat à durée indéterminée et déterminée.
CHAPITRE I – MAINTIEN DE CERTAINS AVANTAGES INDIVIDUELS
Article 1 – Convention Collective
L'application d'une Convention Collective est déterminée par l'activité exercée réellement par l'employeur. L'activité principale de la société SANDERS Bretagne est la fabrication d’aliments pour animaux de ferme.
Aussi les parties ont convenu d’appliquer la Convention Collective Nationale des Métiers de la Transformation des Grains. Il est précisé que la société RICHARD Nutrition appliquait auparavant cette convention.

Article 6 – Retraite Complémentaire
Les parties ont convenues de regrouper les adhésions auprès de l’organisme AG2R RETRAITE ARRCO située au 37, boulevard Brune - 75014 PARIS.
Pour les cadres, les adhésions seront faites auprès de l’organisme AG2R RETRAITE AGIRC située au, 170 BOULEVARD DE LA VILLETTE - 75918 PARIS CEDEX 19.
Il est précisé que la société RICHARD Nutrition adhérait auparavant à ces organismes.

CHAPITRE II – DISPOSITIONS DIVERSES
Article 29 - Suivi de l’accord
Afin de déterminer si l’accord nécessite des évolutions ou adaptations, les parties conviennent de réexaminer les dispositions de l’accord tous les 4 ans, à compter de son entrée en vigueur, dans le cadre d’une commission de suivi composée de l’employeur et des délégués du personnel titulaires élus.
Toutefois, si des évolutions devaient intervenir, soit au niveau de l’entreprise, soit au niveau légal ou conventionnel, les parties pourront solliciter, avant ce délai de 4 ans, la mise en place d’une réunion de discussion. La partie sollicitant la tenue de la réunion doit le faire savoir à l’autre partie par écrit conférant date certaine en respectant un délai de prévenance de 15 jours calendaires avant la date de la réunion. Cette réunion peut ou non aboutir à la préparation d’un nouvel accord. Elle ne pourra pas se substituer à la procédure de révision ou de dénonciation.
Article 30 – Durée de l’accord- Date d'effet
Le présent accord est conclu pour une durée indéterminée.
Il entrera en vigueur à compter du 1er juin 2018.
Article 31 – Dénonciation/Révision
Le présent accord pourra faire l’objet d’une dénonciation ou d’une révision conformément aux dispositions légales en vigueur.
Article 32 – Formalités de dépôt et de publicité de l’accord
Le présent accord sera notifié à l’ensemble des organisations syndicales représentatives dans l’entreprise.
Il est envoyé à la diligence de la société en un exemplaire électronique à la Direction départementale du Travail et de l’Emploi de son lieu de conclusion.
A l’issue de ce délai, il sera également déposé un exemplaire au Secrétariat-Greffe du Conseil de Prud’hommes de Lorient.
Par ailleurs, un acte de publication partielle est conclu parallèlement aux présentes négociations. Il sera joint au dépôt et accompagné d’une version partielle de l’accord en format .doc aux fins d’une publication limitée sur Légifrance.
Le présent accord sera également tenu à la disposition du personnel, un avis étant affiché à cet effet.
